1. The agreement
These Terms of Service (the “Terms”) form a legally binding agreement between you and Ringback. They cover the Ringback website at ringback.ai, the user dashboard, the underlying call-handling and SMS-sending services, and any related communication (collectively, the “Service”). Our Privacy Policy is incorporated by reference.
2. What Ringback does
Ringback is a missed-call recovery service for small businesses. You forward your business phone number to a phone number we provision for you through our telephony provider (Twilio). When a call is missed, Ringback automatically sends the caller a text message on your behalf using a script that you control. We also give you a dashboard with a call log, message log and configuration. The Service is sold as a software subscription, not as a telecommunications service, an answering service, or a call centre.
3. Eligibility and account
- You must be at least 18 years old.
- You must be using the Service for a legitimate business purpose.
- You must provide accurate information when you sign up and keep it accurate.
- You are responsible for keeping your password confidential and for everything that happens under your account. Notify us immediately at founders@ringback.ai if you suspect unauthorised access.
4. Subscription, free trial, and billing
4.1 Plan
The standard plan is US$29 per month and includes 50 missed-call recoveries per monthly billing cycle. Additional missed-call recoveries beyond the included 50 are billed at US$0.30 per recovery, in arrears, at the end of the billing cycle. A “missed-call recovery” means an inbound call that we processed and for which we attempted to send the configured callback text message.
4.2 Free trial
New customers receive a 7-day free trial. You must provide a valid payment method to start the trial. We will not charge you during the trial. If you do not cancel before the end of the trial, your paid subscription begins automatically at the published price.
4.3 Automatic renewal
Subscriptions renew automatically each month until you cancel. Cancellation takes effect at the end of the current billing cycle.
4.4 Payment processor
Payments are processed by Stripe. By providing a payment method, you authorise us (through Stripe) to charge that method for the monthly fee and any overage. You also agree to Stripe’s terms.
4.5 Taxes
All fees are exclusive of taxes (VAT, GST, sales tax, etc.). You are responsible for any applicable taxes other than taxes on our net income.
4.6 Refunds
Except where required by law, subscription fees are non- refundable, including for partial months. If you cancel mid-cycle, you will retain access until the end of that cycle. Overage charges already incurred for that cycle remain payable.
4.7 Failed payments
If a payment fails, we may suspend the Service after reasonable notice. Repeated failures may result in account closure.
4.8 Price changes
We may change subscription prices or overage rates. Changes will take effect no earlier than the start of your next billing cycle, and we will give you at least 14 days’ advance notice by email. If you do not agree to the change, you can cancel before it takes effect.
5. Phone numbers, carriers and registration
The phone number we assign to your account is leased from Twilio. You do not own it. It stays usable for as long as your subscription is active and in good standing. If you cancel or if we terminate your account, the number returns to Twilio’s pool after a reasonable cool-off period and is no longer reserved for you. We do not guarantee number portability into or out of Ringback.
In the United States, SMS and MMS senders are subject to industry rules including 10DLC brand and campaign registration. By using the Service, you authorise us to register your business and your SMS use-case with Twilio and with the carriers, using the information you provide, so that the automated callback text messages we send on your behalf can be delivered. You agree that the information you give us for that registration is accurate.
6. Your responsibilities and acceptable use
You are the sender of every text message that Ringback delivers on your behalf. You agree to:
- Comply with all laws that apply to your messaging, including the US Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, state telemarketing and consumer-protection laws, and any equivalent laws in jurisdictions where your callers are located.
- Only use Ringback to reply to people who actually called you (i.e. an existing-business-relationship reply), and only with content reasonably related to that call. The Service is not for cold-outreach, marketing blasts, lead-generation lists, A2P marketing campaigns, or political messaging.
- Honour opt-outs. If a caller replies STOP, UNSUBSCRIBE, QUIT, CANCEL, END or any reasonable variation, you will not contact them again through the Service.
- Provide accurate identifying information in the messages you configure (who is texting them and why).
- Use the Service only for a lawful purpose, and only for the business you registered.
You agree not to:
- Use Ringback to harass, threaten, defraud, or impersonate anyone.
- Use Ringback to send content that is illegal, obscene, defamatory, infringing or that promotes regulated categories restricted by carriers (sometimes called “SHAFT”: sex, hate, alcohol, firearms, tobacco) or any other carrier-prohibited category.
- Use Ringback to send phishing, malware, or fraudulent payment requests.
- Resell the Service, white-label it, or share your account with another business.
- Attempt to reverse-engineer, scrape, overload, probe, or circumvent the security of the Service.
- Upload phone-number lists you do not have the right to contact.
You are solely responsible for the content of the text messages you configure. You will indemnify us against any third-party claim, fine or penalty (including from carriers, regulators or consumers) caused by your breach of this section. See section 14.
7. Customer data
You own the data you put into the Service and the data generated about calls to your number (“Customer Data”). You grant us a worldwide, non-exclusive, royalty-free licence to host, copy, transmit, display, and process Customer Data solely as needed to provide the Service, to bill you, to keep the Service secure, and to comply with law. We process Customer Data in line with our Privacy Policy.
8. Service availability
We work hard to keep the Service available, but we do not promise uninterrupted or error-free operation. The Service depends on third parties (Twilio, Stripe, Supabase, Vercel, mobile carriers); outages of those providers can affect the Service. Scheduled maintenance, security incidents, and force-majeure events may also cause downtime.
9. Suspension and termination
You can cancel at any time from your dashboard or by emailing founders@ringback.ai. Cancellation takes effect at the end of the current billing cycle.
We may suspend or terminate the Service immediately if you breach these Terms, if your account is being used in a way that creates a risk to us or to the carriers, if a payment is not made, or if required by law. Where the circumstances reasonably allow, we will give you notice and a chance to cure the issue first. On termination, your right to use the Service ends and we may delete your Customer Data after the retention periods described in the Privacy Policy.
10. Intellectual property
The Ringback website, software, branding, and documentation are owned by us or our licensors and are protected by intellectual property laws. These Terms do not transfer any of those rights to you. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service while your subscription is active and in good standing.
11. Feedback
If you send us suggestions about the Service, you grant us a perpetual, irrevocable, royalty-free licence to use them without restriction or obligation to you.
12. Disclaimers
The Service is provided “as is” and “as available”, without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non- infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free; that every text message we attempt to send will be delivered; that every call will be captured by Twilio in time; or that the Service will produce any particular business result, including revenue or recovered jobs. Some jurisdictions do not allow the exclusion of certain warranties; in those places, the above exclusions apply to the maximum extent permitted by law.
13. Limitation of liability
To the maximum extent permitted by law:
- We will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, business opportunity, or data, even if we have been advised of the possibility of such damages.
- Our total cumulative liability arising out of or relating to the Service or these Terms will not exceed the greater of (a) the total fees you paid us in the 12 months immediately before the event giving rise to the claim, or (b) US$100.
Nothing in these Terms limits any liability that cannot be limited under applicable law (for example, liability for fraud, or for death or personal injury caused by negligence).
14. Indemnity
You will defend, indemnify, and hold harmless Ringback and its directors, employees, and agents from and against any claim, loss, damage, fine, penalty, cost or expense (including reasonable legal fees) arising out of: (a) your breach of these Terms; (b) the content of the messages you configure or send through the Service; (c) your violation of any law, including the TCPA or any carrier rule; and (d) your violation of any third-party right.
15. Changes to the Terms
We may update these Terms from time to time. For material changes we will give you at least 14 days’ notice by email. If you do not agree to the new Terms, you must stop using the Service before they take effect. Continued use after the effective date means you accept the change.
16. Governing law and disputes
These Terms are governed by the laws of the jurisdiction in which the Ringback operating entity is incorporated, excluding its conflict-of-laws rules. Subject to the next paragraph, the courts of that jurisdiction have exclusive jurisdiction over any dispute, claim or proceeding arising out of or relating to these Terms or the Service.
Nothing in this section prevents either party from seeking injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information. If you are a consumer resident in a jurisdiction whose mandatory law gives you the right to bring proceedings in your local courts, this clause does not override that right.
17. Miscellaneous
- Entire agreement. These Terms, together with the Privacy Policy and any order form or other written agreement we sign with you, are the entire agreement between us and supersede any prior agreements about the Service.
- Severability. If any provision is held unenforceable, the rest of the Terms remain in effect.
- No waiver. Our failure to enforce a right is not a waiver of that right.
- Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
- Force majeure. Neither party is liable for failure to perform caused by events outside its reasonable control.
- Notices. We will send notices to the email address on your account. You can send notices to us at founders@ringback.ai.
18. Text messaging (SMS) program
Ringback powers an SMS program through which a participating business follows up by text with consumers who contacted that business (for example, by calling and not reaching them). By providing a mobile number to a business that uses Ringback, the consumer consents to receive SMS from that business via Ringback related to their request. Message frequency varies. Message and data rates may apply. Reply STOP to opt out at any time and HELP for help. Mobile numbers and SMS consent are never shared or sold to third parties or affiliates for their own marketing purposes. See our Privacy Policy for details.
